Agreement is executed by and between you, (a “Website Service Provider” or “Vendor” or “Customer”) and Web Designers of USA. Whereas Customer desires to procure from WEB DESIGNERS OF USA, and WEB DESIGNERS OF USA desires to provide to Customer, the services described in this Agreement, on the terms and conditions specified herein. This Agreement shall be effective upon registration and shall continue until terminated by Customer pursuant to the terms and conditions specified herein.
Duties and Rights
Customer agrees to engage WEB DESIGNERS OF USA to perform any and all services in its usual line of business, on a continuing basis, including but not limited to: referral of lead requests. Customer will purchase leads at their own risk and WEB DESIGNERS OF USA is not promising any sales from the leads. WEB DESIGNERS OF USA will refund for the cost of a lead if customer can show that the lead was false, and if WEB DESIGNERS OF USA personnel confirm customer complaint by contacting the lead provider by email or phone.
Compensation and Payment
As compensation for services performed under this Agreement, Customer agrees to pay WEB DESIGNER'S OF USA as follows:
- Designated Charge Per Lead Based Upon Category Selected
- Designated Charge for Logo Advertising (if applicable)
- Designated Charge for any other form of advertising selected
Customer will pay for the lead at the time of purchase through credit card or PayPal. Only first five customers can purchase the lead. The lead will become unavailable once five customers have purchased it.
Relationship of Parties
Customer and WEB DESIGNERS OF USA intend that WEB DESIGNERS OF USA, in performing the services specified in this Agreement, shall act as an independent contractor and shall have control of the work and the manner in which it is performed under this Agreement. WEB DESIGNERS OF USA shall be free to contract for similar services to be performed with other companies, while this Agreement is in effect.
Confidentiality of Leads
Customer agrees not to attempt to resell or redistribute any leads and/or contact information provided to Customer by WEB DESIGNERS OF USA. Any breeching this condition is grounds for immediate termination from the WEB DESIGNERS OF USA network without any refund of annual fee.
Responsibilities of Vendors
WEB DESIGNERS OF USA communicates with its customers extensively via email. Since many companies today utilize spam filtering technologies it is possible these will prevent the delivery of pertinent information. Therefore it is Customer’s responsibility to ensure that necessary configurations are made to allow for the delivery of email from info@webdesignersofusa.com.Customers of WEB DESIGNERS OF USA are given the ability to manage their accounts through a login feature on our website. Here each customer’s profiles are stored detailing the categories they subscribe to and the parameters of the leads they wish to receive. It is from this information which leads are matched to our customers. Therefore, it is the responsibility of the customer to keep this information accurate and up to date.
Approval of Vendors
It is imperative to the mission of WEB DESIGNERS OF USA to accept only vendors of the highest standards into our network and only distribute each lead to a maximum of 5 vendors. For this reason, WEB DESIGNERS OF USA reserves the right to reject the registration, in part or in full, of any new vendor. Given that we limit the distribution of leads we must also limit the number of vendors in each category. For this reason, we may also be forced to reject an existing vendor who wishes to add a new category to their existing profile.
Termination
Notwithstanding the foregoing, Customer may cancel this agreement for any reason, with or without cause, by giving three- (3) business day’s written notice to WEB DESIGNERS OF USA. Cancellation will become effective as soon as all unpaid account balances are paid in full. Refund of the $99 annual registration fee will only be provided if Customer terminates this agreement with 30 days of initiation.
WEB DESIGNERS OF USA evaluates the performance of each Customer on an ongoing basis and reserves the right to remove any Customer for the Approved Vendor Network at anytime at WEB DESIGNERS OF USA’s sole discretion, with or without cause. WEB DESIGNERS OF USA also reserves the right to discontinue forwarding leads to any Customer with an overdue account balance.
Please note that WEB DESIGNERS OF USA reserves the rights to change rules, terms, condition, pricing structure at any time without giving prior notice to customers.
